Key initiatives in 2025

In 2025, "Samruk-Energy" JSC implemented a set of key measures in the field of sustainable development aimed at developing the corporate and climate management system, increasing the transparency of information disclosure, strengthening stakeholder engagement and scaling ESG practices in the Company. The main events of the reporting year reflect the consistent integration of ESG approaches into the strategy, management processes and activities of subsidiaries. The key initiatives and results achieved in the context of the main areas of sustainable development are presented in the table below.

As a follow-up to these areas, one of the key initiatives of 2025 was a project to introduce international best practices in climate risk management and information disclosure in accordance with the TCFD recommendations and IFRS S2 requirements. The project was aimed at creating a methodological framework for the systematic integration of the climate agenda into the Company's corporate governance, strategic planning and reporting.

Within the framework of the project, a quantitative assessment of the impact of transition and physical climate risks on the strategy and financial performance of "Samruk Energy" JSC was carried out, scenario prerequisites and trajectories for achieving climate goals were clarified, as well as applied approaches were developed to take into account climate risks and opportunities in management and reporting processes. The results of the project served as the basis for making key management decisions and initiatives in the field of climate and sustainable development in the reporting year.

In 2025, "Samruk-Energy" JSC approved key management documents in the field of climate and sustainable development

  • The Climate Corporate Governance Plan for 2025-2026 was developed based on the results of the assessment of compliance with the TCFD recommendations and includes 18 activities. Its implementation is aimed at the systemic integration of the climate agenda and increasing the transparency of information disclosure.

At the end of 2025, 102 out of 103 measures (99%) were implemented. As part of the update, the Roadmap additionally includes 17 new activities related to the implementation of TCFD approaches and the preparation of climate disclosures.

"Samruk-Energy" JSC was among the leaders in climate risk management among industrial companies in the study of the RAEX rating agency. The company took 8th place among the 145 largest companies in Russia, Kazakhstan, Uzbekistan and Mongolia.

Implementation of ESG initiatives and Sustainable Development Goals

The Company continued to implement the Sustainable Development Initiatives Plan for 2022–2026, aimed at achieving long-term goals and contributing to the 17 UN SDGs.

  • On 22 May 2025, the Board of Directors approved the Report on the implementation of the Plan for 2024: out of
  • 40 activities, 30 were completed (the level of implementation is 75%).
  • The initiatives cover environmental responsibility, social security, occupational health and safety, and the development of corporate governance and ESG practices.

The company received 5th place in the TOP-10 in the ESG ranking of RAEX Governance

International Reporting and Transparency

As part of its commitment to international standards, the Company ensured the disclosure of key non-financial information

  • On 3 June 2025, the Communication on Progress Report for 2024 was published on the platform of the UN Global Compact, reflecting the implementation of the 10 principles of the UN Global Compact.
  • On 8 January 2026, the results of the CDP questionnaire for 2024 were published. The questionnaire covered climate, water resources, biodiversity, risks and strategy. According to the results of the questionnaire of the CDP International Agency on Disclosure of Data on Greenhouse Gas Emissions and Water Resources Management, the Company was assigned level "D".

The company is also recognised as a leader in the following categories

  1. The best ESG disclosure in the energy sector is a reflection of the company's comprehensive approach to non-financial reporting in the industry.
  2. The best disclosure of environmental protection issues is an emphasis on the environmental aspects of activities and practices for minimizing the impact on nature.
  3. The best disclosure of the sustainability strategy is a transparent presentation of long-term goals, management processes and the integration of ESG priorities into the corporate strategy.
  4. Better disclosure of social issues - systematic disclosure of information on social responsibility, interaction with employees, communities and other stakeholders.

The Kazakhstan Stock Exchange has awarded 1st place in the nomination "Best Annual Report in the Non-Financial Sector" in the competition based on the results of the Annual Reports for 2023.

In the rating of annual reports, the RAEX rating agency awarded the Company 5 stars and the status of "The Highest Quality of the Annual Report".

Stakeholder and Community Engagement

In 2025, the Company strengthened its work with stakeholders and local communities

  • The 2024 Stakeholder Engagement Report was approved (Board of Directors, 24 February 2025).
  • A training webinar for NPOs was held (May 2025) with the support of the SamrukKazyna Trust.
  • In September 2025, a survey of NPOs in the regions of presence (23 organisations from 4 regions) was conducted to identify priority social problems.
  • Monitoring of the implementation of the Program for Interaction with Local Communities was carried out for 9 subsidiaries and affiliates.

Development of subsidiaries and ESG practices

In October 2025, an on-site comprehensive analysis of corporate governance and sustainable development processes was carried out at SamrukGreen Energy LLP.

The analysis was aimed at

  • assessment of the maturity of ESG processes,
  • identification of strengths and areas of development,
  • formation of practical recommendations.

The resulting recommendations will be taken into account when developing the Roadmap for 2026.

Special session on sustainable development

On 12 December 2025, a strategic session on corporate governance and ESG was held with the participation of more than 40 specialised specialists from the Corporate Center and subsidiaries of the Group.

The event was devoted to summing up the results of 2025, discussing priorities for 2026 and developing internal expert interaction.

During the open dialogue, key areas of sustainable development were considered, including occupational health and safety, human capital development, environmental responsibility and improvement of corporate processes. Subsidiaries presented their achievements and implemented initiatives, which made it possible to form a holistic view of the Group's progress.

Following the session, joint initiatives for 2026 were identified aimed at developing ESG practices, strengthening inter-corporate cooperation and improving the efficiency and sustainability of the Company's activities.

"Samruk-Energy" JSC has integrated the Principles of Sustainable Development into its activities and is committed to the 17 UN Sustainable Development Goals. As part of its activities, the Company contributes to the achievement of priority SDGs, which is reflected in the projects being implemented, performance indicators and results of the reporting year.

In 2025, "Samruk-Energy" JSC implemented training initiatives in the field of ESG and corporate values aimed at raising employee awareness, developing managerial competencies and strengthening the culture of business ethics and compliance. The SE development strategy is focused on continuous improvement of working conditions, safety and the development of social initiatives aimed at improving the well-being of employees. One of the key tasks in the regions of operation is the balance between production approaches and social priorities. As part of the transition to low-carbon development, a comprehensive approach that takes into account social aspects is needed. This requires preparing the workforce for new conditions, including relocation programmes and, if necessary, timely retraining of personnel.

  • In 2025, the total personnel turnover ratio in the group of companies of "Samruk-Energy" JSC, including joint and affiliated organisations, amounted to 13%. At the same time, the staff turnover rate was 10.3%
  • In 2025, the average salary of employees of "Samruk-Energy" JSC Group of Companies, including joint ventures and affiliates, amounted to 692,741 KZT per month.
  • Since January 2025, all subsidiaries and affiliates of the group of companies have indexed wages by an average of 8%.
  • In 2025, the PI "Center for Social Interaction and Communications" conducted a survey on the engagement of employees of "Samruk-Energy" JSC to assess their well-being in four key areas: health, involvement, social, physical and mental well-being, as well as financial stability. According to the results of the study of administrative and managerial personnel for 2025, the Index for the group of companies of "Samruk-Energy" JSC amounted to 59%. This is 13 percentage points higher than last year (46%).
  • In 2025, a sociological study was conducted among production personnel using the Samruk Research Services methodology to analyze social stability. According to the results of the survey, the integral SRS indicator was 77%.
  • Share of senior managers in significant regions of the organisation's activities hired from among representatives of the local population 100%.

The development strategy defines personnel as the main strategic resource and a significant competitive advantage of the Company. In the context of the expected growth in the volume of generation and the active development of renewable energy sources, work continues to create conditions for increasing the human resources potential of the industry. The company strives to become one of the most prestigious employers in its regions of presence.

  • 800 students underwent practical training in the Company, more than 70 students underwent dual training.
  • about 30 new agreements and memoranda of cooperation were concluded with educational institutions, excluding educational institutions with which the Company works on an ongoing basis.
  • "Samruk-Energy" JSC continues to actively develop partnerships with leading universities and colleges of Kazakhstan, including "AUPET" NJSC, "Al-Farabi Kazakh National University" NJSC, D. Serikbayev East Kazakhstan Technical University, "Toraigyrov University" NJSC, "M. Auezov South Kazakhstan University", Mukhamedzhan Tynyshpayev ALT University, "Electrotechnical College", "Ekibastuz Polytechnic College" and other educational institutions.
  • In 2025, the Company organised an international internship for students of NJSC "AUPET" at the University of Genoa (Italy) within the framework of the agreement with JSC "Almaty Electric Stations" and NJSC "AUPET" (dated 09/30/2024). Within the framework of the programme, 4 students underwent an internship lasting one semester (120 days). The internship was successfully completed in December 2025, providing participants with a unique opportunity to gain international experience and in-depth knowledge in the field of modern combined cycle gas turbines and thermal power engineering.
  • A competition was organised, as a result of which 16 educational grants were allocated for university students
  • With the aim of social and professional development of the individual through the exchange of thoughts and experience, the IV Youth Forum of Working Professions was held in the format of an information session "Working Professions: Energy of the Future". The event was attended by 100 young blue-collar workers from all subsidiaries and affiliates of Samruk-Energy Group.
  • As part of the youth policy development programme in the group of companies of Samruk-Kazyna JSC, a selection of young specialists was carried out from Bogatyr Komir LLP, Alatau Zharyk Company JSC and Shulbinsk HPP LLP to participate in the 7 Qadam PRO programme. The "7 Qadam master" programme was attended by 3 employees and 3 mentors in the specialties of labour protection, laboratory and chemical analysis and electrical installation.

Achieve gender equality and empower all women and girls

Ensure availability and sustainable management of water and sanitation for all

In the Environmental Safety Program of "Samruk-Energy" JSC. The following measures for effective water resources management are included

  • Reduction of water intake per unit of production

  • Repair of hydraulic ash removal systems, pipelines and pumping equipment at treatment facilities.
  • As part of our water conservation strategy, we have made extensive use of closed-loop water supply systems, including storage cooling reservoirs and once-through ash disposal systems at Ekibastuz TPPs. The Almaty CHPPs used recirculating cooling systems with cooling towers, as well as water from ash dumps, which contributed to improving the efficiency of water use and protecting the environment.
  • In 2025, the state of water bodies was regularly monitored by accredited specialised laboratories in accordance with the Industrial Environmental Control Programme, including the determination of the chemical composition and quality of surface, groundwater and wastewater.
  • In the reporting period, SDCs did not record a single case of exceeding the maximum permissible concentrations of pollutants in wastewater discharges.
  • All production enterprises have implemented Water Resources Rational Use Plans with measures to reduce the use of fresh water, the discharge of normatively treated water, water losses during transportation and the introduction of wastewater reuse systems.

Access to affordable, reliable, sustainable and modern energy

  • 7.1 By 2030, ensure universal access to affordable, reliable and modern energy services.
  • 7.2 By 2030, significantly increase the share of renewable energy sources in the global energy mix.
  • 7.3 By 2030, double the global rate of energy efficiency improvements.
  • 7.A By 2030, enhance international cooperation to facilitate access to clean energy research and technologies, including renewable energy, energy efficiency and advanced and cleaner fossil fuel technologies, and encourage investment in energy infrastructure and clean energy technologies.

As part of the strategy, to cover the growing demand for electricity, it is planned to commission new capacities, primarily at the expense of renewable energy and coal-fired generation facilities to cover the basic demand. Also, in order to compensate for daily fluctuations in demand and uneven generation by renewable energy facilities, it is planned to commission manoeuverable gas stations, hydro-generating facilities with manoeuverable modes of operation and energy storage systems.

  • During 2025, work continued on the implementation of key infrastructure projects, which will increase the installed capacity of solar power plants from 8.0 GW in 2024 to 23.5 GW by 2033 (data on the Development Strategy 2024-2033).
  • At the end of 2025, the volume of electricity production of "Samruk-Energy" JSC reached 40,436 million kWh, exceeding the figure for 2024 by 1.7%.
  • Electricity generation by renewable energy facilities of Samruk-Energy JSC in 2024 amounted to 553 million kWh, which corresponds to 6.4% of the total share of renewable electricity generated in the Republic of Kazakhstan.
  • A key indicator of reliability is a reduction in the number of technological failures. As a result of the implementation of the planned activities, the systematic daily work of power engineers, and consistent investment of funds, it was possible to reduce their number by 7% compared to 2024.
  • At the end of 2025, 67 (with a plan of 65) various measures were implemented, the implementation of measures to improve energy efficiency in the group of companies of "Samruk-Energy" JSC made it possible to save more than 247 thousand tonnes of coal equivalent (tce) in the amount of 2.7 billion KZT (with a plan of 1.5 billion KZT).
  • Measures taken to improve energy efficiency in "Samruk-Energy" JSC group of companies reduced energy consumption to 9,616 thousand GJ
  • In 2025, the Energy Saving and Energy Efficiency Program was updated. During the development of the Program, 12 production subsidiaries of the Company were inspected, organisational, technical, regulatory, personnel and other measures were formed to save energy and improve energy efficiency.
  • On 11 November 2025, the annual competition "The Best Rationalisation Proposal for Energy Saving and Energy Efficiency Improvement" was held. The event is aimed at encouraging active employees of subsidiaries, creating a sustainable innovative environment and introducing practice-oriented technological solutions in production activities.
  • On 11 December 2025, Samruk-Kazyna JSC held the Best Innovative Company competition for the first time, aimed at supporting technological development and encouraging innovative activity in portfolio companies. In the nomination "Best Innovator" the winner was Dmitry Martynenko, an employee of Ekibastuz GRES-2.

Promote inclusive and sustainable economic growth, employment and decent work for all

UN SDG targets

  • 8.5. By 2030, achieve full and productive employment and decent work for all women and men, including youth and people with disabilities, and equal pay for work of equal value.
  • 8.7. Take immediate and effective measures to eradicate forced labour, end modern slavery and human trafficking, and prohibit and eliminate the worst forms of child labour, including the recruitment and use of child soldiers, and end child labour in all its forms by 2025.

  • The company educates employees on issues of inclusion and equality. In November 2024, HR professionals received training on the topic of "Diversity, Equity and Inclusion (DEI)" to increase awareness and understanding of the importance of equal opportunities in the workplace.
  • The project "Talimger". As part of the implementation of the "Talimger" project and the Year of Working Professions in the group of companies of "Samruk-Energy" JSC, the Fund provided a quota for the employment of 5 orphans. The group of companies successfully exceeded the established quota - in 2025, 8 orphans were employed.
  • As part of the implementation of the Roadmap for improving the sustainable management system, the implementation of the Program for creating an accessible and inclusive environment for persons with disabilities (PWS) in "Samruk-Energy" JSC group of companies continued. The main goals of the programme are to employ PWDs, remove physical and technical barriers in the workplace, and provide social guarantees and benefits.
  • Subsidiaries and affiliates have created the necessary conditions for the comfortable work of employees with disabilities: parking spaces have been equipped, ramps with call buttons, tactile tiles have been installed, and sanitary and amenity rooms have been adapted. Priority service for citizens with disabilities is provided, including the possibility of submitting appeals and applications in an online format.
  • At the end of the reporting year, the Company managed to maintain the number of employees with disabilities on the payroll. At the end of the year, 213 people with disabilities worked in the Company's group of companies.
  • The ratio of the minimum wage for women to men is 100%.

Building sustainable infrastructure, promoting sustainable industrialisation and fostering innovation

As part of the implementation of the strategic goal on efficiency, work continues to improve energy efficiency and introduce energy-saving technologies and processes, improve operational efficiency, and introduce modern digital solutions and technologies, including artificial intelligence.

  • Expenses for social support in the regions of presence are 10 million KZT.
  • KZT 89 million were the costs of maintaining production assets.
  • 449 million KZT was allocated for the implementation of investment projects, including renewable energy facilities.
  • 229 million KZT were capital investments, including in renewable energy sources.
  • Implementation of the "Samruk Úmiti" project: a career guidance event was held and patronage was initiated over 4 pupils of the orphanage in Ridder on the basis of the Ust-Kamenogorsk HPP with the support of "Samruk-Energy" JSC.
  • R&D is being carried out under the project "Carbon Capture and Storage Technologies (CCS), Production of Coal Chemistry Products".

2025 results

  • Environmental issues are managed at all levels of the Company through an environmental management system integrated into corporate governance and non-financial risk management. The Guidelines for Responding to Environmental Emergencies were approved. The system is regularly evaluated and improved with the participation of international experts.
  • All types of waste in subsidiaries and affiliates are identified on the basis of inventory.
  • Bogatyr-Komir LLP reduces overburden disposal by using internal dumps and conducting insulation to prevent spontaneous combustion.
  • Ash and slag is buried with dust suppression and reclamation measures, part is processed for construction.
  • No radioactive waste is generated. Quarterly radiation monitoring is carried out at enterprises and in sanitary protection zones, no exceedances of the permissible level have been recorded.
  • The Company annually prepares Integrated Reports, where it discloses its impact on resource consumption in "Samruk-Energy" JSC Group of Companies in 3-year dynamics.
  • Adapted forms have been adopted to collect information on waste management in accordance with international sustainability reporting (GRI) requirements.
  • Subsidiaries and affiliates transfer hazardous production waste to specialised organisations for the purpose of their safe handling, disposal and/or neutralisation.

2025 results

In the SE Development Strategy for 2024-2033, one of the key goals is the energy transition.  Within the framework of this goal, the key and most ambitious task is the construction of new renewable energy and hydroelectric power facilities. In terms of increasing volumes by type of generation, the largest contribution will be made by renewable energy projects, which account for 6.2 GW of installed capacity growth (40%). To achieve the goal of the energy transition, SE continues to work on decarbonisation and reducing the carbon footprint.

  • In accordance with the Energy Transition Program of "Samruk-Energy" until 2060, the Company sets goals and develops a long-term vision for low-carbon development by improving energy efficiency, using low-carbon technologies (available on the market), developing renewable energy sources and using offset mechanisms. Due to the significance of global trends to limit climate change and the risks associated with activities based on traditional generation, "Samruk-Energy" JSC will strive to minimise its negative impact on the environment in the horizon until 2060.
  • On 28 March 2025, the Climate Corporate Governance Policy of "Samruk-Energy" JSC was approved (Minutes of the Management Board of the Company No. 9).  This document fixes the responsibility of the management for achieving climate goals and brings the company's management in line with the TCFD recommendations.
  • On 3 April 2025, the Action Plan for the implementation of the Energy Transition Program of "Samruk-Energy" JSC until 2060" was approved (Minutes of the Management Board of the Company No. 10), which spells out clear deadlines and responsibilities for the implementation of the necessary measures in the areas described in the SEP to achieve carbon neutrality.

On 13 November 2025, the Regulation on the management of climate processes of "Samruk-Energy" JSC was approved (Minutes of the Management Board of the Company No. 34), which clearly spells out the mechanism of interaction between structural units to achieve common climate goals

  • Climate risks were assessed at key production facilities. Adaptation measures have been developed and implemented.  A consolidated risk register has been developed that defines and separates climate and transition risks in detail.
  • The Company actively participates in national and international climate forums, sharing its experience in reducing its carbon footprint and adapting to climate change. At the regional energy forum "Power Central Asia + China" (June 2025), where "Samruk-Energy" presented the Energy Transition Program until 2060. Within the framework of the XVI Eurasian Forum KAZENERGY (October 2025), "Samruk-Energy" JSC focused on the balance between ensuring energy security and fulfilling climate commitments. Also, commitments to the development of renewable energy sources, as one of the decarbonisation tools, were discussed with international partners at COP30 (UN Climate Change Conference). 

On 25 November 2025, a training session was held for the Board of Directors and top management of "Samruk-Energy" JSC in the field of ESG with the participation of McKinsey & Company on the topic "Overview of the current energy system in the world and the forecast of energy development in various scenarios (Global Energy Perspective 2025)".

Establishment of the University of Genoa Competence Centre

The project for the reconstruction of CHPP-2 and CHPP-3, including the transition to gas and the construction of gas turbine units, is strategically important for the modernisation of Kazakhstan's energy infrastructure. To train highly qualified personnel in this area, a series of meetings were held with representatives of AUPET, “AlES” JSC, ANSALDO and the University of Genoa. As a result, several agreements were signed aimed at training students as part of an international internship, and the task was set to create a Competence Center at the University of Genoa on the basis of the Department of Thermal Power Engineering at AUPET. This is part of a long-term strategy for international cooperation.

The project is aimed at training specialists in combined cycle plants, which is of great importance for the development of the energy sector of Kazakhstan.

2025 results

  • To protect aquatic ecosystems at individual HPPs, hydroturbines are equipped with fish protection devices, and at night, water intakes are illuminated to scare away fish.
  • To protect birds, power lines are being reconstructed with the installation of insulated wires.
  • The operating modes of hydroelectric power plants are coordinated with water and environmental authorities to reduce the impact on ecosystems.
  • When designing wind turbines, the impact on the environment is taken into account, light pollution is minimised, and lighting is limited to parking lights.
  • Subsidiaries and affiliates annually carry out landscaping of sanitary protection zones.
  • According to monitoring, no significant impact on vulnerable ecosystems was recorded in 2025.

"Samruk-Energy" JSC Group of Companies has appointed Compliance officers, whose powers include, among other things, issues of anti-corruption expertise and work.

Corruption risks are analyzed annually.

Compliance officers conduct compliance checks of counterparties (due diligence), including for their involvement in corruption offenses.

Explanatory work on anti-corruption issues is being carried out.

There are equal opportunities in employment, career growth and remuneration.

Assessments of compliance with ethical standards and non-discrimination are carried out on a regular basis.

In the reporting period, there were no confirmed cases of corruption and bribery.

More than 290 training events were held with explanations on changes in anti-corruption legislation, tax declaration and the procedure for the operation of the hotline.

"Samruk-Energy" JSC has confirmed its compliance with international standards and received the ISO 37301 "Compliance Management System" certificate. "Samruk-Energy" JSC was one of the first in the Fund's group of companies to implement and certify a compliance management system in accordance with this international standard.

  • From 24 January to December 2025, the Chairman of the Management Board of the Company took part in an in-person meeting of the Board of Directors of the Kazakhstan Electric Power Association.
  • On 6 February 2025, the Chairman of the Management Board of the Company took part in a meeting on the development of the energy and nuclear industry chaired by the Deputy Prime Minister of the Republic of Kazakhstan Roman Sklyar.
  • On 18 February 2025, the Chairman of the Management Board of the Company took part in the Working Group on Improving the Regulatory Framework for Digital Assets.
  • On 26 February 2025, the Chairman of the Management Board of the Company took part in the expanded board of the Ministry of Energy of the Republic of Kazakhstan, dedicated to the discussion of the results of 2024 and tasks for 2025.
  • On 9 July 2025, a working meeting between the Chairman of the Management Board of the Company and the Chairman of the CIS EC UES.
