Structure of "Samruk-Energy" JSC 
Group of Companies

As part of the execution of the order of the Head of State of the Republic of Kazakhstan dated 11 May 2020 No. 20-01-7.11 "On the situation with coronavirus and anti-crisis measures", regarding the transfer of certain structures owned by national companies from foreign jurisdictions to the Astana International Financial Center, the Company merged Forum Muider B.V. with Forum Muider Limited (Cyprus). As a result of the merger, all assets, property, rights and obligations of Forum Muider B.V. were transferred to Forum Muider Limited by way of succession. Forum Muider B.V., in turn, ceased its activities and was removed from the register of companies in the Netherlands.

In pursuance of the Law "On Amendments and Additions to Certain Legislative Acts of the Republic of Kazakhstan on Heat Power Engineering, Electric Power and Regulated Services" (dated 08.07.2024), in January 2025, AlmatyEnergoSbyt LLP was reorganised by joining Alatau Zharyk Company JSC, as a result of which all rights, obligations and property of AlmatyEnergoSbyt LLP were transferred to Alatau Zharyk Company JSC by way of universal succession. Currently, Alatau Zharyk Company JSC carries out activities for the transmission of electricity and the supply of electricity to consumers, and AlmatyEnergoSbyt LLP has ceased its activities, joining Alatau Zharyk Company JSC.

As part of the implementation of the project "Construction of a power plant based on CCGT with a total capacity of about 1,100 MW in the Kyzylorda region" together with UCC, on 2 May 2025, the project company Kyzylorda Energy Ltd was established in the jurisdiction of the AIFC. The share of "Samruk-Energy" JSC in the project company is 30%, the share of UCC is 70%.

As part of the implementation of the project "Construction of a 300 MW solar power plant with a 90 MW/360 MWh electricity storage system", Qazaq Green Power PLC, together with Dutch Green Power Investment B.V. (an affiliate of China Energy), established the project company Sauran Solar Power LLP on 21 July 2025. The share of Qazaq Green Power PLC in the project company is 30%, the share of Dutch Green Power Investment B.V. is 70%.

In September 2025, in pursuance of the Development Strategy of "Samruk-Energy" JSC for 2024-2033, approved by the Board of Directors of the Company, 96.3% of the shares of "Bukhtarma" HPP JSC were transferred to Qazaq Green Power PLC.

On 24 September 2025, an additional 7,779 shares of Forum Muider Limited were issued in favour of the investor Primet LLC (Qatar), as a result of which the share of "Samruk-Energy" JSC in the share capital decreased from 50% to 35%.

In October 2025, the procedure for domiciliation of Forum Muider Limited in the jurisdiction of the Astana International Financial Centre was completed, as a result of which a Certificate of Continuation of Activities was obtained, confirming the Company's status as an AIFC participant.

On 5 December 2025, the project company Karaganda Wind Power LLP was registered for the further implementation of the project "Construction of a 500 MW wind farm in the Karaganda region together with China Energy Overseas Investment Co., Ltd", assumes a design capacity of 500 MW and a projected average annual electricity generation of 1.66 million MWhThe project also provides for the construction of an energy storage system (ESS) with a capacity of 150 MW/300 MWh. The share of Qazaq Green Power PLC in the project company is 30%, Energy China - 70%.

In December 2025, as part of the implementation of the Decree of the Government of the Republic of Kazakhstan dated 29 December 2020 No. 908 "On Certain Issues of Privatisation for 2021-2025", measures were taken to sell 35% of the shares of Forum Muider Limited.
